Terms & Conditions
These Terms and Conditions set out the basis on which Evergreen Nature Ltd provides services to clients, volunteers and partners in the United Kingdom. They govern proposals, quotations, agreements, site access, safety, payment, cancellations and the responsibilities of each party. By engaging the company for advice or practical work you accept these terms unless a separate written contract states otherwise. We aim to keep terms clear and fair. For specific project engagements we provide a written service agreement or purchase order specifying the scope, fees and any bespoke conditions. Engagements, scope and acceptance
A formal engagement begins when we issue a written quotation or proposal and the client accepts it in writing or via a signed agreement. Quotations are valid for the period stated on the document. The scope of work will be described in the quotation or project brief. Any changes to scope requested after acceptance may require a variation and could affect timings and fees. We endeavour to schedule work in accordance with agreed programmes but timelines are subject to weather, site access, supplier availability and regulatory approvals. Clients must provide accurate site information, permissions and any relevant constraints before work commences. Site access must be safe and lawful and the client is responsible for disclosing known hazards or protected species presence where required by law.
Fees, invoices and cancellations
Fees will be set out in our quotation and are payable under the terms noted. Where a deposit is required it will be specified in the quotation. We invoice according to milestones or completion as agreed. Payment terms are 30 days from invoice date unless another arrangement is made in writing. Late payments may incur interest and reasonable recovery costs. If a client cancels a confirmed booking or project, we will seek to agree any fair charge to cover commitments already made, including plant, materials or subcontractor costs. For events or volunteer sessions arranged by us, cancellation terms will be provided at booking. If we must postpone or cancel due to safety, weather, or regulatory reasons we will notify clients promptly and propose alternatives. Refunds, where applicable, will follow the Refund Policy linked in the footer.
Liability, insurance and indemnity
We hold public liability and professional indemnity insurance appropriate to the services we deliver. Our liability for direct loss arising from negligence is limited to the value of the contract or to the limit of our insurance cover, whichever is lower. We do not accept liability for indirect, consequential or third-party loss except where legal obligations require otherwise. Clients must ensure safe access to sites and inform us of any known restrictions, underground services or protected features. Where clients provide materials or machinery we accept no responsibility for defects in those items. Where works require statutory licences or consents, responsibility for obtaining those lies with the client unless otherwise agreed. Clients agree to indemnify us against claims arising from inaccurate information supplied by them or breaches of the terms by third parties they instruct.
Data, intellectual property and governing law
Any personal data we process in relation to the contract is handled in accordance with our Privacy Policy. Intellectual property rights in reports, designs and materials we produce remain with Evergreen Nature Ltd until paid in full. We grant clients a licence to use deliverables for the stated purpose. These terms are governed by the laws of England and Wales. Parties will first attempt to resolve disputes by negotiation. If unresolved, disputes may be referred to mediation or the courts of England and Wales depending on the nature of the dispute. For specific commercial arrangements, bespoke contractual terms will take precedence where mutually agreed in writing.
